Description: Tulsa, OK - Giovanni Elezi and Napolis of Tulsa, Inc. sued Parker Strip Center, LLC and Steve D. Eaton on breach of contract theories claiming:

I. Plaintiff Giovanni Elezi is an individual who resides in Tulsa County, State of Oklahoma.
2. Plaintiff Napoli’s of Tulsa, Inc. is an Oklahoma corporation, and its principle place of
business is in Tulsa County, State of Oklahoma.
3. Defendant Parker Strip Center, LLC is an Oklahoma Limited Liability Corporation, and its
principle place of business is in Tulsa County, State of Oklahoma.
4. Defendant Steve D. Eaton is an individual who resides in Tulsa County, State of Oklahoma.
II. JURISDICTION AND VENUE
5. This Court has jurisdiction and venue to adjudicate the claims and controversies herein because the wrongftil conduct occurred in forum district and the parties all reside here.
III. FACTUAL SUMMARY
6. The Plaintiff Giovanni Elezi is now and has been for many years in the restaurant business. He enjoys an excellent reputation and has been successful.
7. The Plaintiff Giovanni Elezi sometimes does business under Napoli’s of Tulsa, Inc.
8. The Defendants own certain commercial property in Jenks, Oklahoma, identified generally as 391, 393 and 395 East Main, Jenks, Oklahoma.
9. The Defendants leased the commercial space to Plaintiffs for the operation of a restaurant.
10. Following the execution of the lease agreements, Plaintiffs acquired substantial restaurant equipment and placed it in the leased premises.
11. The Plaintiffs operated the restaurant successfully.
12. Several months after the restaurant opened and was in operation, Plaintiff Giovanni Elezi was in a serious auto accident on May 25, 2013. The auto accident resulted in serious injuries to Giovanni Elezi, and he was unable to return to work for many months.
13. Because Plaintiff Giovanni Elezi was unable to immediately return to work and operate the restaurant, Napoli’s employed Irma Noemi Garcia to operate the restaurant in Giovanni Elezi’s absence.
14. Prior to the auto accident, Giovanni Elezi had operated an Italian restaurant.
15. Because Irma Noemi Garcia was not experienced in operating an Italian restaurant, but was experienced in operating a Mexican restaurant, the restaurant was changed to a Mexican restaurant under the name of Azteca Mexican Bar and Grill.
16. Plaintiff Giovanni Elezi was concerned because the lease agreements with Defendants specified that the type ofrestaurant was Italian. Consequently, Plaintiffs notified Defendants of the medical problems suffered by Giovanni Elezi and the proposal to change the nature of the restaurant to a Mexican restaurant to accommodate the expertise of Plaintiffs’ employee, Irma Noenii Garcia. The Defendants tacitly agreed to the proposed change of the nature of the restaurant under the circumstances. The Plaintiffs arranged for the installation of a new sign for the restaurant changing the name to Aztcca Mexican Bar and Grill, and the Defendants were present when the new sign was installed.
17. The Defendants never objected to nor complained about the change in the nature of the restaurant from Italian to Mexican. In fact, the Defendants were accommodating and accepting of the change.
1 8. The Mexican restaurant was successlifi.
19. The Defendants determined that they would concoct some excuse to terminate the lease agreement with the Plaintiffs in order to renegotiate a new and different lease with Irma Noemi Garcia. The Defendants believed that the Mexican restaurant would be very successfhl in the fiJture. The Defendants believed that a new and different lease with Irma Noemi Garcia would be more profitable than the one already in existence with the Plaintiffs.
20. The Defendants contacted Irma Noemi Garcia and persuaded her to enter into a new and different lease with them and to terminate her relationship with the Plaintiffs. She did so and, therefore, a new and different lease on the commercial space exists between Irma Noemi Garcia and the Defendants.
21. The Defendants caused to be delivered a letter purporting to terminate the lease agreements with the Plaintiffs regarding the restaurant space. Moreover, the letter also purports to impose on the Plaintiffs liabilities for damages. Simultaneously, the Defendants changed the locks and barred the Plaintiffs from all access to the premises and the equipment and food owned by the Plaintiffs inside the premises.
22. The purported lease termination and the assumption ofpossession ofthe restaurant premises, equipment and food were wrongful and illegal. The leases with the Plaintiffs remain in effect under the law. The purported lease terminations are simply a pretext to warrant or justi’the Defendants’ malicious plans to enter into a new and different lease agreement with Irma Noemi Garcia.
23. The Plaintiffs have made demand on Defendants to withdraw the purported lease termination and grant to the Plaintiffs access to their property and food. The Defendants have refused and continue to refuse.
24. The Plaintiffs have been damaged and continue to be damaged by the Defendants’ wrongful and illegal conduct.
25. Art agency relationship exists between the Defendants at all times material herein.
IV. FIRST CAUSE OF ACTION BREACH OF CONTRACT
26. All preceding paragraphs are adopted.
27. Lease agreements are in full force and effect for the restaurant premises between the Plaintiffs and the Defendants.
28. The Defendants have wrongfully and illegally breached the lease agreements.
29. The Plaintiffs have been damaged and continue to be damaged by the Defendants’ wrongful and illegal conduct in violating the lease agreements. The damages exceed the sum of Ten Thousand Dollars ($10,000.00).
WHEREFORE, Plaintiffs pray for judgment against the Defendants, jointly and severally, for judgment in excess of Ten Thousand Dollars ($10,000.00), together with attorney fees and costs incurred herein.
VI. SECOND CAUSE OF ACTION
MALICIOUS INTERFERENCE WITH CONTRACT OR BUSINESS RELATIONS
30. All preceding paragraphs are adopted.
3 1. The Plaintiffs had business and/or contractual rights with which there was interference.
32. The interference was malicious and wrongful; .and such interference was neither justified privileged nor excusable.
33. The interference was tortious in nature because the Defendants owed a duty to the Plaintiffs not to interfere, but they violated that duty.
34. The Plaintiffs were damaged, and the damages were proximately sustained as a result of the conduct of interference.
35. Plaintiffs’ compensatory damages exceed the sum of Ten Thousand Dollars ($10,000.00).
36. In addition to compensatory damages, the Pjaintiffs should also recover from the Defendants exemplary damages in excess of the sum of Ten Thousand Dollars ($10,000.00).
WHEREFORE, in the Second Cause of Action, the Plaintiffs pray for judgment against the Defendants, jointly and severally, for compensatory damages and exemplary damages each in amounts in excess of Ten Thousand Dollars ($10,000.00), together with costs and attorney fees.
VII. THIRD CAUSE OF ACTION
CONVERSION
37. All preceding paragraphs adopted.
38. The Defendants are guilty of conversion because they have wrongfully taken property rightfully belonging to the Plaintiffs.
39. The Plaintiffs have been damaged and continue to be damaged in excess of the sum of Ten Thousand Dollars ($10,000.00).
40. In addition to compensatory damages, the Plaintiffs should also recover from the Defendants exemplary damages in excess of the sum of Ten Thousand Dollars ($10,000.00).
WHEREFORE, in the Third Cause of Action, the Plaintiffs pray for judgment against the Defendants, jointly and severally, for compensatory damages and exemplary damages each in amounts in excess of Ten Thousand Dollars ($10,000.00), together with costs and attorney fees.
