1. AF One is a limited liability company formed and existing under the laws of the State of Louisiana.
2 AF One maintains an office and place of business in Tulsa County, Oklahoma
3 Defendant is a limited liability company formed and existing and under the laws of the State of Kansas.
4. Pursuant to a Purchase Agreement entered into June of 2010, by and between AF One and Defendant, Defendant purchased a membership interest in AF One and the rights to operate a team in the Arena Football League owned by AF One.
5. The Purchase Agreement expressly stated that the courts of Oklahoma would have exclusive jurisdiction and venue over any court proceedings between AF One and Defendant.
6. Defendant agreed to certain obligations to AF One in connection with such membership interest and team operations.
7. Defendant has failed and refused to fulfill its obligations to AF One, such that there is due and owing from Defendant to AF One the sum of $65,193.19.
WHEREFORE, Plaintiff prays for judgment against Defendant in the amount of $65,193.19, together with its attorney fees and cost and such other relief to which Plaintiff might be entitled.
Outcome: Settled for an undisclosed sum and dismissed with prejudice.
