MARKETING AGREEMENT
This agreement is entered into by and between MoreLaw.Com, Inc., hereinafter sometimes referred to as “MoreLaw”, whose mailing address is 406 South Boulder, Suite 460, Tulsa, Oklahoma and ________________________, hereinafter referred to as “Advertiser”, whose mailing addresses is __________________________________.
CONSIDERATION
MoreLaw hereby agrees to list Advertiser on its Find-A-Lawyer pages for the Cities indicated on Attachment A hereto and for the subjects indicated on Attachment B hereto for the following consideration (please select the option of your choice):
A. _____ $10 per month per million population in your market area payable in advance on a one year contract ($120 minimum).
B. _____ $20 per call made to Advertiser via an 800 number obtained by MoreLaw from its long distance carrier that rings to Advertiser’s local exchange number plus 20 cents a minute after the first 20 minutes of the call. (This selection is available only if the total population in the market area is 1,000,000 or greater.)
MoreLaw will link from the listing or listings for Advertiser’s services to Advertiser’s Internet site or to a record in MoreLaw’s Lawyer Directory for Option A above at the direction of Advertiser or to a record in MoreLaw’s Lawyer Directory for Option B above that will display the 800 number obtained by MoreLaw and will not contain a local exchange number, e-mail address or the URL of any website owned and operated by Advertiser.
TERM OF THIS AGREEMENT
The term of this agreement shall be for one year for options A Section One above or for a period of 90 days for option B in Section One above. If Advertiser elects to terminate before the expiration of the term selected, MoreLaw shall retain all sums paid to it as liquidated damages. If MoreLaw terminates this agreement before the expiration of the agreed term, MoreLaw will return all sums paid to it in advance by Advertiser.
TERMS OF PAYMENT
All sums due to MoreLaw per this agreement shall be paid upon receipt of MoreLaw’s invoice and shall accrue interest at the rate of 1.5% per month for any sums due more than 30 days from the date of the invoice.
MEDIA
Advertiser shall be solely responsible for providing MoreLaw with advertising media in a form compatible with the services provided by MoreLaw. Advertiser agrees to indemnify and hold MoreLaw harmless for any claims made by third-parties relating to the publication of Advertiser’s media on MoreLaw or for any harm of any kind suffered by any person, firm or corporation resulting from the creation of any hypertext link from Advertiser’s listing(s) to any URL specified by Advertiser. MoreLaw reserves the right to remove any media, verbiage or hypertext link from MoreLaw.Com should it be determined or claimed that any such media, verbiage or hypertext link infringes upon any third-party’s copyright, trademark or other intellectual property or if the destination site of any hypertext link is changed to make the listing displayed on MoreLaw or destination site misleading, deceptive or otherwise unacceptable to MoreLaw.
INTERPRETATION AND ENFORCEMENT OF THIS AGREEMENT
This agreement shall be interpreted in accordance with the laws of the State of Oklahoma and the exclusive venue for the enforcement of any provisions of this agreement or any dispute between the parties hereto shall be exclusively in the District Court of Tulsa County, Oklahoma.
ENTIRETY CLAUSE
This Agreement sets forth the entire agreement between the parties hereto, and no representation or promise not specifically set forth herein shall affect the duties or liability of the parties hereto.
ACCEPTANCE BY MORELAW
This contract shall not be binding on MoreLaw until signed by a duly authorized offices of MoreLaw.Com, Inc.
